These Terms and Conditions constitute a legally binding agreement between you and Centscribe, LLC ("Company," "we," "us," or "our"), which operates the Centscribe service, concerning your access to and use of https://www.centscribe.com, the Centscribe mobile application, and any related products, features, content, and services that link to these terms (collectively, the "Services").
Centscribe is a personal finance platform that helps users track transactions, manage budgets, connect financial accounts, monitor net worth, organize bills and savings goals, upload receipts, and manage subscriptions. Centscribe also offers optional AI-assisted categorization, summaries, and financial organization features.
If you do not agree to all of these Terms and Conditions, do not access or use the Services.
1. Agreement to Our Legal Terms
We are Centscribe, LLC, a Michigan limited liability company located at 6311 Haggerty Rd, Unit #855, West Bloomfield, Michigan 48322, United States. Centscribe is the personal finance service operated by the Company.

We may update these Terms and Conditions from time to time. If we make material changes, we may notify you by email to the address associated with your account, through in-app notice, or by posting the updated terms on the Services. The updated terms become effective on the stated effective date. Your continued use of the Services after that date means you accept the revised terms.
2. Eligibility and User Representations
By using the Services, you represent and warrant that:
- you are at least 18 years old and able to form a binding agreement;
- any registration or account information you provide will be true, accurate, current, and complete;
- you will keep that information updated when it changes;
- you will not access the Services through bots, scrapers, or other unauthorized automated means;
- you will not use the Services for any illegal or unauthorized purpose; and
- your use of the Services will comply with all applicable laws and regulations.
3. Accounts and Security
You may be required to create an account to use some features of the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
If you believe your account has been compromised, contact support@centscribe.com promptly and take reasonable steps to secure your credentials.
4. Our Services
The Services are intended for personal financial organization, planning, budgeting, and educational use. The Services are not designed for uses subject to specialized regulatory requirements unless we expressly state otherwise.
The Services may not be available in every jurisdiction, and access from locations where the Services would violate applicable law is prohibited. People who choose to access the Services from outside the United States do so on their own initiative and are responsible for compliance with local law.
5. Linked Accounts and Third-Party Services
Centscribe may allow you to connect or use third-party services and providers, including Plaid, Apple, Google, RevenueCat, OpenAI, Google Places, email providers, and app-store services. Those services are operated by third parties, and their own terms, billing terms, and privacy policies also apply.
You are responsible for the permissions you grant to connected services. Centscribe is not responsible for downtime, inaccurate or delayed imports, institution limitations, data-source changes, policy changes, or security practices of third-party services outside Centscribe's control.
Imported data may be incomplete, delayed, duplicated, recategorized, or otherwise inaccurate due to sync timing, institution limitations, data-source changes, or third-party errors.
6. Purchases and Payment
At launch, paid features and subscriptions offered through the Services are sold through the Apple App Store unless we clearly state otherwise in a separate purchase flow.
If you make a purchase through the Apple App Store, Apple handles the checkout flow, billing, renewals, taxes shown at checkout, and payment processing under Apple's terms and policies. Prices are displayed in the local currency shown by the App Store at the time of purchase.
We reserve the right to correct pricing, display, availability, or description errors. If Apple reports a refund, reversal, failed payment, or similar payment issue, we may suspend or revoke access to the related paid features.
7. Subscriptions
Billing and Renewal
If you purchase a subscription, your subscription will continue and automatically renew unless you cancel it. Renewal timing, billing date, grace periods, and related purchase handling are governed by Apple's App Store terms and the purchase information shown at checkout.
Cancellation
You can manage or cancel subscriptions through your Apple App Store subscription settings. Unless Apple states otherwise, cancellation takes effect at the end of the current paid term. If you have subscription questions, contact support@centscribe.com , but refunds and billing adjustments are handled by Apple under Apple's policies.
Fee Changes
We may change subscription pricing for future billing periods or future purchases. Any price change will be communicated or displayed in the App Store flow as required by applicable law and platform rules.
8. Mobile Application License
If you access the Services through the Centscribe mobile application, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use the app on devices you own or control, solely in connection with the Services and in accordance with these Terms and Conditions.
You may not copy, modify, reverse engineer, decompile, attempt to derive source code from, create derivative works from, or otherwise misuse the app except as permitted by applicable law.
If you downloaded the app from an app distributor such as Apple, the distributor is a third-party beneficiary of the mobile license provisions in these terms to the extent required by the distributor's platform rules.
9. Intellectual Property Rights
Centscribe and its licensors own the Services, including the software, code, design, trademarks, graphics, workflows, content, and related intellectual property rights. Except for the limited right to use the Services for personal, non-commercial use in accordance with these terms, no license or ownership right is granted to you.
You may not copy, reproduce, distribute, republish, publicly display, sell, license, or otherwise exploit the Services or Content without our prior written permission. Permission requests may be sent to legal@centscribe.com .
10. Prohibited Activities
You agree not to:
- use the Services for unlawful, fraudulent, harmful, or misleading purposes;
- attempt to bypass security, access controls, or usage limits;
- upload malware, viruses, scripts, or other harmful code;
- reverse engineer, scrape, extract, or systematically copy service data without authorization;
- misuse linked-account integrations, financial data, AI features, or security-related functionality;
- impersonate another person or misrepresent your identity or authority;
- harass, abuse, or threaten Centscribe personnel or other users; or
- use the Services in a way that interferes with the operation, stability, or security of the Services.
11. Feedback and Submissions
If you send us suggestions, comments, ideas, product feedback, or similar submissions regarding the Services, you agree that we may use that feedback without restriction or compensation to you. You remain responsible for ensuring that any material you submit to us does not violate law or third-party rights.
12. Privacy Policy
We care about privacy and data security. Please review our Privacy Policy, which is incorporated into these Terms and Conditions. By using the Services, you agree that your information may be collected, used, and shared as described there.

13. No Professional Advice and Data Accuracy
Centscribe provides budgeting, organizational, educational, and planning tools only. Centscribe does not provide legal, tax, accounting, investment, fiduciary, lending, or other professional advice.
Any AI-generated, automated, estimated, summarized, or categorized content is informational only and should not be treated as a substitute for advice from a qualified professional.
Ask Centscribe AI Feature Terms
Ask Centscribe is an optional AI-assisted feature inside Centscribe. To use Ask Centscribe, you may be required to review an in-app disclosure and electronically agree to these Terms and Conditions, the Privacy Policy, and the Ask Centscribe feature terms presented in the app.
Ask Centscribe is designed to provide budgeting, financial-organization, and educational guidance only. It is not a financial planner, investment adviser, broker, fiduciary, accountant, tax preparer, attorney, or other licensed professional, and no use of Ask Centscribe creates any advisory, fiduciary, or professional-client relationship.
Ask Centscribe outputs depend on the information you provide, connected-account context, third-party data, and underlying AI systems. Outputs may be inaccurate, incomplete, outdated, generic, or inappropriate for your situation. You should not rely on Ask Centscribe as the sole basis for financial, legal, tax, accounting, credit, debt, or investment decisions.
Centscribe may limit, refuse, or moderate higher-risk prompts, including requests for individualized investment recommendations, legal advice, or tax advice. Those safeguards reduce risk, but they are not perfect. You remain solely responsible for reviewing outputs, verifying important facts, and deciding whether to act on any information.
If you connect third-party services or financial institutions through Centscribe, imported data may be delayed, incomplete, duplicated, recategorized, or inaccurate due to sync timing, institution limitations, data-source changes, or third-party errors. You are responsible for reviewing important balances, transactions, categories, due dates, projections, and other outputs before relying on them.
14. Modifications and Interruptions
We reserve the right to change, suspend, improve, restrict, or remove all or part of the Services at any time and for any reason. We may also impose usage, feature, or eligibility limits where needed for security, compliance, operational, or product reasons.
We do not guarantee that the Services will always be available or free from bugs, sync issues, delays, or interruptions. We are not liable for downtime, errors, or interruptions resulting from maintenance, third-party provider failures, or circumstances outside our reasonable control.
15. Term and Termination
These Terms and Conditions remain in effect while you use the Services. We may suspend, restrict, or terminate your access to the Services if we believe it is necessary to protect the Services, comply with law, address misuse, enforce these terms, investigate fraud, or respond to security concerns.
You may stop using the Services at any time. Any provisions that by their nature should survive termination, including ownership, disclaimers, dispute terms, limitations of liability, and indemnification, will survive.
16. Governing Law
These Terms and Conditions and your use of the Services are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.
17. Dispute Resolution
Informal Negotiations
To help resolve disputes efficiently, you and Centscribe agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms and Conditions or the Services through informal negotiations for at least thirty (30) days before starting arbitration or court proceedings. Informal dispute notices must be sent in writing to legal@centscribe.com .
Small Claims Court
Either party may bring an individual claim in small claims court, if the claim qualifies and remains in that court, instead of first proceeding to arbitration.
Binding Arbitration
Except for claims properly brought in small claims court and except for the exclusions below, disputes that are not resolved through informal negotiations will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules, as applicable. Arbitration may be conducted in person, by document submission, by phone, or online.
Unless the AAA rules or applicable law require otherwise, any in-person arbitration hearing will take place in Oakland County, Michigan, or in another reasonably convenient location selected under the applicable AAA consumer procedures. Each party will bear fees as allocated by the applicable AAA rules, except that if the arbitrator determines fees are excessive under those rules, Centscribe will pay the portion required by applicable law or AAA procedure.
If a dispute proceeds in court rather than arbitration, or if court action is required to compel arbitration, stay proceedings, confirm an award, or challenge an award, the action must be brought in the state courts located in Oakland County, Michigan, or the United States District Court for the Eastern District of Michigan, subject to any non-waivable consumer-law rights.
Class Action Waiver
To the fullest extent permitted by law, you and Centscribe agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, private-attorney-general, or representative proceeding.
Exceptions and Non-Waivable Rights
The following disputes are not subject to mandatory arbitration: claims seeking injunctive relief; claims relating to intellectual property rights; claims concerning theft, piracy, privacy invasion, or unauthorized use; claims properly filed in small claims court; and claims that cannot legally be made subject to pre-dispute arbitration under applicable law.
18. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, or other service information. We reserve the right to correct those errors, inaccuracies, or omissions and to update the information on the Services at any time without prior notice.
19. Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.
WE DO NOT GUARANTEE UNINTERRUPTED AVAILABILITY, ERROR-FREE OPERATION, BANK-DATA ACCURACY, CATEGORY ACCURACY, MERCHANT-NORMALIZATION ACCURACY, SYNC COMPLETENESS, OR THE ACCURACY OF ANY AI OUTPUT, IMPORTED DATA, OR SUMMARY.
20. Limitations of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME LAWS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
21. Indemnification
You agree to defend, indemnify, and hold harmless Centscribe and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your misuse of the Services, your breach of these Terms and Conditions, your violation of applicable law, or your violation of any third-party rights.
22. User Data
We maintain data you transmit to the Services for the purpose of providing, securing, and improving the Services. Although we perform routine backups and recovery operations, you are responsible for reviewing exported information and for keeping copies of information that is important to you outside the Services where appropriate.
To the fullest extent permitted by law, we are not liable for loss, corruption, duplication, delay, or inaccuracy of user data arising from third-party services, sync behavior, transmission issues, or events outside our reasonable control.
23. Electronic Communications
By visiting the Services, using the app, sending us emails, or completing online forms, you consent to receive electronic communications from us. You agree that electronic notices, disclosures, agreements, and records satisfy any legal requirement that those communications be in writing.
